Well, mine dispel magic doesnt remove his invisibility.
//Problem is he despawn like so quick. No AoE cant even hit him. He's not magic resistant, it will print it, he doesnt have active spell imunities, it also be printed since he spawns, but only active protection is from normal missles and Shield.

Well if that didn't work (maybe some other spell, didn't try any other spell) then it's probably have something do with SCS or maybe not, don't know. 
I'm out of ideas, not a big suprise, i don't know anything about modding.

Well, i'm back.
I can't help you with "bug" or with ever is causing this but maybe with somekind of "workaround".
Try this. Put JC_SEMA.00009.CRE to override as JC_SEMA.CRE.Then edit JC_SEMA.CRE with NI. Change Allegiance from ""NEUTRAL - 128" to "ENEMY - 255" and save.
Then CLUAConsole him.
What happens then?

Well, tried this, he is there for ... about 10 sec, then he instantly disappears. Tried Dispel Magic, he becomes visible, but still disappears.
// So i had to ctrl + y to kill him, but at least now i can proceed

Okay did that part finally, Thank you very much
Damn I have another problem. When I enter into second level of irenicus's dungeon (AR0603). RoT cutscene done sucesfully, then I arrived there. Yoshimo talks with me, i refused him, he leaves portal and then it freezes, then crashes like.

Well you were right about "Plane of Earth" it's mod added after all.
Almateria's Restoration Project v4 component "Restored Irenicus's Plane of Earth" adds it. So you might want read about it from readme and look for area-files with NI.
I can't help you with that though because i have older BWP install and it has v3.3.
I look that Irenicus Dungeon 2 CTD but i can't promise you that i can help you.

Then it's not spawning CRE-file that causes it.
Your game freezes right not outright CTD. What happens before games "freezes"?
One question out of curiosity: Why do you refuse Yoshimo? And what happens if you take him?
Maybe it's spell problem or something like that, i don't know (suprise 
) about those stuff. My problems were usually "bad" CRE-files in the past. I'm not spell person (fighter aka Conan rules 
) so i don't use many of those spell mods.
Maybe Imp knows more.

After refusing, he leaves with portal, but some assassin and mage start fight. Some triggered spells starts.

Well it's understandable i don't like him either but i need him for Tortured Souls mod and Kara-Tur. Also as bonus i can kill him at Spellhold. 
After refusing, he leaves with portal, but some assassin and mage start fight. Some triggered spells starts.

Well, yes know it that you don't have Tortured Souls mod, i was talking mostly about my game. But that's not important here.
About your problem it's probably "bugged" spell so that Yoshino change-log probably won't help. It's probably one of those mage's that cast spells. But i'm not familiar with spell problems. Sorry.

Well it's hard to say anything from here, yes it could be anything (well maybe not CRE-file because you did Area CRE Checker).
Yes Graphics Overhaul is for BG1 areas and map problems usually CTD before it loads to screen.

So what I am supposed to do now
Try to find out what causes freeze or/and CTD, well it hard but else can you do. Sorry.
Or maybe re-install BWP (even more mods, it's great 
and less buggier ) and start from Candlekeep.
Or pray that some of these modder/fixer gods 
(Miloch, Lollorian, 10th, Imp and so on) help you.
